Terms & Conditions of Service

These Terms & Conditions govern all services provided by Two Friends Films Ltd (“we”, “us”, “our”). By commissioning our services, clients agree to the terms below.

1. Our Services

We provide:

Care Story Film programmes commissioned by care homes and organisations
Legacy Films commissioned by individuals or families
• Occasional promotional or charitable films by separate agreement

The scope, format, duration and deliverables for each project will be agreed in writing prior to filming.

2. Booking & Payment

Legacy Films (Family Commissions)

A booking is confirmed upon receipt of a 60% deposit.

The remaining balance is payable prior to delivery of the completed film.

Filming dates are not secured until the deposit has been received.

The deposit reflects time reserved, pre-production preparation, scheduling commitments and administrative work undertaken in advance of filming.

Care Story Film Programmes (Organisational Commissions)

Commissioned programmes require written agreement and confirmation.

A 50% deposit (as outlined in the commissioning agreement) is payable upon booking, with the remaining balance due upon delivery.

Filming dates are not secured until the agreed deposit has been received.

3. Rescheduling & Cancellation

We understand that circumstances can change, particularly in care and end-of-life settings.

If a Legacy Film needs to be rescheduled, we will make every reasonable effort to accommodate an alternative date where possible.

Where cancellation occurs:

• If more than 7 days before filming, we may retain a reasonable portion of the deposit to reflect preparation undertaken.
• If within 7 days of filming, the deposit will ordinarily be retained, as the filming date is unlikely to be reallocated at short notice.

In compassionate or health-related circumstances, we will always exercise reasonable discretion and seek to reach a fair outcome reflective of work already undertaken.

For organisational commissions, cancellation and rescheduling arrangements will be set out within the commissioning agreement.

4. Consent & Capacity

Participation in filming is voluntary.

For Legacy Films, consent must be provided directly by the participant where they have capacity.

Where a participant lacks capacity, consent must be obtained from an authorised representative in accordance with the Mental Capacity Act 2005. The commissioning party is responsible for ensuring appropriate authority exists.

For Care Story Films, commissioning organisations are responsible for ensuring appropriate consent or best-interest decisions are properly documented prior to filming.

We reserve the right not to proceed if appropriate consent cannot be demonstrated.

5. Wellbeing & Participant Welfare

Many of our participants are older adults or individuals receiving care.

Their dignity, comfort and wellbeing are our priority at all times.

We reserve the right to pause, adapt or discontinue filming if we believe participation is causing distress, fatigue or discomfort.

Where filming is shortened or cannot be completed for health-related reasons, we will work with the commissioning party to agree a fair and proportionate outcome. This may include rescheduling where possible, delivering a shorter edited film based on recorded material, or adjusting the final balance to reflect work undertaken.

6. Editorial Control & Revisions

We retain editorial discretion over the structure, tone and style of the finished film.

One round of reasonable revisions is included unless otherwise agreed in writing.

Additional revisions may incur further charges.

We reserve the right to decline requested edits that:

• Compromise dignity
• Misrepresent participants
• Conflict with our professional standards

7. Delivery & Storage Responsibility

Films are delivered digitally in agreed formats.

It is the client’s responsibility to download and securely store delivered files.

We are not responsible for loss, damage or corruption of files once delivery has been confirmed.

Raw footage is retained only in accordance with the retention periods set out in our Privacy Policy.

Replacement copies cannot be guaranteed after the stated retention period has expired.

8. Copyright & Usage

Two Friends Films Ltd retains copyright in all footage and completed films unless otherwise agreed in writing.

Clients are granted a non-exclusive licence to use the completed film for the agreed purpose:

• Internal organisational use (Care Story Films)
• Private family use (Legacy Films)

Films may not be altered, redistributed, published publicly, or used commercially without prior written permission.

Separate written agreement is required for publicity or promotional use.

9. Confidentiality

We treat all participants and commissioning organisations with professional discretion.

Films will not be made public or used for marketing without explicit written consent.

10. Limitation of Liability

We exercise reasonable care and professional skill in delivering our services.

To the fullest extent permitted by law:

• Our total liability for any claim arising from a commissioned project shall be limited to the total amount paid for that project.
• We shall not be liable for indirect or consequential loss, including emotional distress arising from voluntary participation in filmed conversations.
• We are not responsible for loss of files once delivery has been confirmed.
• We shall not be liable for failure to perform services due to circumstances beyond our reasonable control, including illness, venue restrictions, technical failure not caused by negligence, or force majeure events.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot legally be excluded.

11. Data Protection

All personal data is processed in accordance with our Privacy Policy & Data Protection Statement.

12. Governing Law

These Terms are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
